Welcome to the HUISHINE website. These Terms and Conditions (“Terms”) govern your access to and use of our website, and the purchase of our products and services. By accessing our website or submitting a request for quotation (RFQ), you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our website or services.

3. Inquiries and Quotations

By submitting an RFQ through our website, you represent that the information you provide, including your BOM, Gerber files, drawings, and project details, is accurate and complete.

  • No binding offer: A quotation provided by HUISHINE is an invitation to treat and does not constitute a binding offer until we issue a formal quotation document and you accept it by purchase order.
  • Quotation validity: Quotations are valid for the period stated in the quotation, after which they may be revised.
  • Lead times: Stated lead times are estimates and may be adjusted based on component availability, order volume, and other factors.

4. Orders and Contracts

A binding contract for the supply of goods and services arises only when:

  1. HUISHINE issues a formal quotation or sales order confirmation, and
  2. You accept it by issuing a purchase order or other written acceptance.

Any terms in your purchase order that conflict with these Terms or our quotation will not apply unless expressly agreed by HUISHINE in writing.

5. Customer Materials and Intellectual Property

You retain all rights, title, and interest in the intellectual property contained in the BOMs, Gerber files, drawings, and other technical documents you provide to us (“Customer Materials”).

  • We use Customer Materials solely for the purpose of quoting, manufacturing, and delivering your products.
  • You warrant that you own or have the right to use the Customer Materials and that their use by us will not infringe the rights of any third party.
  • You are responsible for the accuracy and completeness of Customer Materials. Errors caused by inaccurate or incomplete Customer Materials may result in additional charges or schedule changes.
  • Unless otherwise agreed in writing, we do not retain Customer Materials longer than necessary for the purpose of the order.

6. Our Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of HUISHINE or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our prior written consent.

7. Quality and Acceptance

  • Our products are manufactured in accordance with the specifications agreed in the quotation and generally accepted industry standards, including IPC-A-610 where specified.
  • Inspection and test results are provided as described in the applicable quotation.
  • You are responsible for inspecting products upon receipt. Claims regarding defects, shortages, or discrepancies must be notified to us within the period stated in the quotation or within a reasonable time after receipt, whichever is earlier.

8. Warranty

We warrant that products will be free from defects in materials and workmanship under normal use for the warranty period stated in the applicable quotation, subject to:

  • Proper storage, handling, and use of the products by you
  • Compliance with our documented specifications
  • No modification, repair, or rework performed by third parties without our written consent

The warranty does not cover defects caused by your specifications, components supplied by you, or normal wear and tear. Our sole obligation under this warranty is, at our option, to repair, rework, or replace defective products.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability arising out of or in connection with any order shall not exceed the contract value of the products or services giving rise to the claim
  • We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill

Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Confidentiality

Both parties agree to keep confidential any non-public technical, commercial, or business information disclosed in connection with an inquiry, quotation, or order, and to use it only for the purposes of the business relationship.

11. Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, epidemics, government actions, supply chain disruptions, labor disputes, or failures of third-party infrastructure.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the competent courts of [City, Province], China.
